Please read these terms carefully before engaging Suria Praxis. By submitting an enquiry form or entering into an engagement agreement with us, you accept these terms in full.
1. Definitions
- "Suria Praxis" / "we" / "us" — the business consulting practice operating under the name Suria Praxis, registered in Malaysia.
- "Client" / "you" — any individual or organisation that submits an enquiry or enters into an engagement agreement with Suria Praxis.
- "Engagement" — a consulting assignment conducted under a written proposal accepted by the Client.
- "Deliverable" — the written document or other output specified in the written proposal as the formal output of an Engagement.
- "Website" — the Suria Praxis website accessible at https://suriapras.site.
2. Acceptance of Terms
By submitting an enquiry form on this Website or by confirming acceptance of a written proposal from Suria Praxis, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms & Conditions. If you are submitting on behalf of a company or organisation, you confirm you have authority to bind that entity.
3. Services
Suria Praxis provides business advisory consulting services to hospitality and food & beverage operators, principally in the Klang Valley, Malaysia. Our three defined engagement types are described on the Website. Each Engagement is governed by a written proposal that sets out the specific scope, fee, timeline and Deliverable. Services are subject to availability and our assessment of fit.
4. Engagement Scope and Changes
The scope of each Engagement is defined in the written proposal. No expansion of scope will be undertaken without a separate written agreement and, where applicable, a revised fee. Neither party may materially change the agreed scope unilaterally. If the Client requests a change to scope, we will advise whether and on what terms we are able to accommodate it.
5. Fees and Payment
All fees are stated in Malaysian Ringgit (MYR) and are fixed at the amount set out in the written proposal. Unless otherwise agreed:
- 50% of the engagement fee is payable upon written acceptance of the proposal.
- The remaining 50% is payable upon delivery of the Deliverable.
- Payment is due within 14 days of each invoice date.
- The introductory conversation prior to any Engagement is provided without charge.
Fees are non-refundable once work has commenced, except in the event of termination by Suria Praxis under Clause 10.
6. Confidentiality
All information provided by the Client in connection with an Engagement, and all Deliverables produced by Suria Praxis, are treated as strictly confidential. Suria Praxis will not disclose, publish or otherwise use Client information for any purpose other than the conduct of the agreed Engagement. A formal confidentiality undertaking is provided at the start of each Engagement.
7. Intellectual Property
All methodologies, frameworks and working documents developed by Suria Praxis remain the intellectual property of Suria Praxis. Upon full payment of the engagement fee, the Client receives a non-exclusive, non-transferable licence to use the Deliverable for internal business purposes. The Deliverable may not be reproduced, shared publicly or used for commercial purposes without prior written consent.
8. Client Responsibilities
The Client agrees to: provide timely access to relevant information and personnel as required for the Engagement; ensure that information provided is accurate to the best of their knowledge; not use Suria Praxis's involvement or the existence of any Engagement for promotional or marketing purposes without prior written consent.
9. Disclaimers
Suria Praxis provides advisory services and written analysis based on information available at the time of each Engagement. Deliverables represent our assessment and observations; they do not constitute legal, financial or accounting advice. Business decisions remain entirely the responsibility of the Client. We make no representation regarding specific commercial outcomes arising from acting on any Deliverable.
10. Limitation of Liability
To the extent permitted by Malaysian law, Suria Praxis's total liability to the Client for any claim arising out of or in connection with an Engagement shall not exceed the total fees paid for that Engagement. We shall not be liable for any indirect, consequential or purely economic loss. Nothing in these terms limits liability for fraud or wilful misconduct.
11. Termination
Either party may terminate an Engagement by written notice if the other party commits a material breach that remains unremedied for 14 days after written notice. Where the Client terminates, fees for work completed to the date of termination remain payable. Where Suria Praxis terminates due to its own inability to perform, we will refund fees attributable to unperformed work. Clauses 6, 7, 9 and 10 survive termination.
12. Dispute Resolution and Governing Law
These terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to attempt to resolve the matter through good-faith negotiation before commencing formal proceedings. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. General
These terms, together with the written proposal for any Engagement, constitute the entire agreement between the parties in respect of that Engagement. If any provision is found to be unenforceable, the remaining provisions continue in full force. A waiver of any breach does not constitute a waiver of any subsequent breach. Suria Praxis may not assign its obligations without the Client's prior written consent.
14. Changes to These Terms
We may revise these terms from time to time. Changes will be posted on this page with an updated Last Updated date. Engagements already in progress are governed by the terms in effect at the time the proposal was accepted.
